PART 1 — MEMBERSHIP AGREEMENT
PLEASE READ THIS AGREEMENT CAREFULLY. THIS IS A LEGAL CONTRACT BETWEEN THE MEMBER AND BASE SOCIAL INC.
This Membership Agreement and Privacy Policy (this "Agreement") is entered into by and between Base Social Inc. ("Base," "we," "our," or "us") and each individual who applies for, joins, or maintains a Base Membership (a "Member"). By applying for, joining, or maintaining a Membership; by accessing or using any website operated by Base (including base.club, the "Website"); by installing or using the Base mobile application (the "App"); by attending or participating in any Base Experience; or by submitting payment of any Membership fee, the individual agrees that:
(1) the individual has read, understood, and agrees to be bound by this Agreement;
(2) the individual is of legal age in the individual's jurisdiction of residence to form a binding contract;
(3) the individual has the authority to enter into this Agreement personally and, if applicable, on behalf of any entity; and
(4) the individual's payment of any Membership fee constitutes the individual's express acknowledgment and acceptance of this Agreement in its entirety, including all limitations of liability, dispute resolution provisions, and waivers contained herein.
If the individual does not agree to this Agreement, the individual may not access or use the Services.
1. Your Membership
1.1 Membership Acceptance. Base reserves the right to accept or reject any membership application at its sole discretion.
1.2 Cancellation or Suspension by Base. Base reserves the right to cancel, suspend, or decline to renew a Member's Membership at any time and in its sole discretion, including (without limitation) for violations of the Code of Conduct, non-payment, or behavior deemed harmful to the community. Base will provide notice where reasonably practicable, except where immediate action is required to protect Members, staff, partners, or property. Nothing in this section authorizes Base to act in violation of applicable anti-discrimination or other laws.
1.3 Cancellation by Member. A Member may cancel their Membership at any time by submitting written notice through the methods designated by Base (currently the Base app or members@base.club). To take effect for the next billing cycle, written notice must be received by Base at least thirty (30) days prior to the Member's next billing date. Notice received after that window will result in one additional billing cycle being charged before cancellation takes effect. Verbal cancellation is not accepted. All Membership fees paid by the Member, including any final billing cycle charged following late notice, are non-refundable as set forth in Section 9.
1.4 Membership Pause. A Member may pause their Membership in accordance with the terms below. Pauses must be requested through the Base app or by contacting members@base.club. Base reserves the right to verify eligibility, approve pause requests, and require reasonable documentation as set forth below.
(a) Eligibility. A Member must have an active Membership in good standing (current on all Membership fees) for at least three (3) consecutive months before requesting an elective pause under subsection (b). If a Member cancels their Membership and later rejoins, the three-month tenure clock resets on the new join date. This tenure requirement does not apply to a hardship pause under subsection (c).
(b) Elective Pause Fees and Limits. A Member may request an elective pause subject to the following terms. The rules below are determined by the Member's Membership tier at the time the pause is requested; subsequent tier changes do not modify the terms of a pause already in effect.
(i) Monthly Members. Up to two (2) elective pauses per calendar year, each not to exceed three (3) consecutive months. The first elective pause in a calendar year is subject to a one-time pause fee of $25.00. The second elective pause in a calendar year is subject to a one-time pause fee of $50.00. The Member's paid Membership term does not extend.
(ii) Quarterly Members. Up to two (2) elective pauses per calendar year, each not to exceed three (3) consecutive months. The first elective pause in a calendar year is subject to a one-time pause fee of $25.00. The second elective pause in a calendar year is subject to a one-time pause fee of $50.00. The Member's paid Membership term automatically extends by the length of each pause.
(iii) Annual Members. A Member may pause for a cumulative total of up to six (6) months per calendar year, in any combination of pause periods. Each elective pause is subject to a one-time pause fee of $50.00. The Member's paid Membership term automatically extends by the length of each pause.
(c) Hardship Pause. In addition to the elective pauses described above, a Member of any tier may request a hardship pause at no charge in circumstances such as medical issues, family emergencies, military deployment, or other significant life events. Hardship pauses are granted in Base's reasonable discretion upon submission of supporting documentation, and may extend up to twelve (12) months. The length and terms of any hardship pause will be determined based on the documentation provided. Hardship pauses do not count against the elective pause limits in subsection (b).
(d) Pause Fee Authorization and Billing. Pause fees under subsection (b) are charged to the payment method on file at the time the pause begins. Base will notify the Member by email when a fee is charged. Pause fees are non-refundable, including in cases of early reactivation.
(e) Pause Timing and Billing. A pause cannot begin in the middle of a billing cycle. If a Member requests a pause during an active billing cycle, the Member's paid access continues through the end of that cycle, no further Membership fee is charged for the subsequent cycle, and the pause begins on the first day of what would have been the next billing cycle. A Member's billing cycle is anchored to the day of the month on which the Member's Membership originally began.
(f) Reactivation. Membership automatically resumes at the end of the pause period at the Member's existing Membership tier and billing cadence, unless the Member affirmatively cancels under Section 1.3 before the pause ends. A Member may request to end a pause early at any time; reactivation will take effect at the start of the next billing cycle following the request.
(g) Access During Pause. A Member on pause retains limited access to the Services, including the ability to sign in to the Base app, view their profile, and browse Experiences. Active Member functions (including but not limited to booking Experiences, claiming Base+ perks, and participating in Member matching) are disabled during a pause. The specific scope of paused access may be modified by Base from time to time.
(h) Calendar Year Counting. Elective pause counts and limits reset on January 1 of each year. A pause that begins in one calendar year and extends into the next is counted against the calendar year in which it begins.
(i) Limitations and Good Faith. Base reserves the right to limit, deny, or revoke a pause where Base reasonably believes the pause feature is being misused, including a pattern of pausing immediately before scheduled Experiences or in a manner inconsistent with good-faith Membership.
2. Member Responsibilities and Code of Conduct
2.1 General Standard of Conduct. Members agree to comply with this Agreement and with the Base Code of Conduct, as published by Base in the Member Help Center and updated by Base from time to time. Members shall conduct themselves respectfully toward other Members, staff, partners, and guests at all times, whether in person, online, or through any communication tools provided as part of the Services.
2.2 Prohibited Conduct. The following conduct is strictly prohibited and may result in immediate suspension or termination of Membership without refund:
(a) Sexual harassment, misconduct, or any unwelcome physical or verbal advances;
(b) Discrimination or harassment on the basis of race, color, religion, national origin, sex, gender, gender identity, sexual orientation, age, disability, or any other characteristic protected by applicable law;
(c) Repeated failure to honor RSVPs to Base Experiences without timely cancellation, in a manner that displaces other Members or disrupts the Experience;
(d) Theft, vandalism, or damage to property belonging to Base, other Members, partner venues, or guests;
(e) Possession, use, or distribution of illegal substances at any Base Experience or partner venue;
(f) Disruptive, threatening, or unsafe conduct that jeopardizes the safety or well-being of others;
(g) Misuse of the Base app or communication tools, including impersonation, spam, fraud, deceptive activity, or unsolicited commercial solicitation of other Members;
(h) Use of the Services to violate any applicable law or the rights of any third party; and
(i) Any other conduct that, in Base's reasonable discretion, is harmful to other Members, partners, staff, or the Base community.
2.3 Reporting and Response. Members are encouraged to report concerns about Member conduct to members@base.club. Base will review reported concerns in good faith and may, in its discretion, conduct an investigation, request information from involved parties, and take any action it deems appropriate, including warning, suspension, or termination of Membership. Base's determination is final.
2.4 No Refund on Termination for Cause. Termination of Membership for violation of this Section 2 does not entitle the Member to a refund of any prepaid Membership fees, Experience fees, or other charges.
3. About Base and the Services
3.1 Description of Base. Base is a real-life social club designed to foster meaningful connection, collaboration, and intellectual engagement through curated in-person Experiences and a Member-based community.
3.2 Experiences. Base hosts a variety of curated in-person Experiences, which may include Circles, Socials, Tastings, Tours, and other formats Base introduces from time to time. Certain Experiences require an additional fee separate from Membership.
3.3 Online Services and Mobile App. Base provides digital tools to support the Member experience, including a mobile application (the "App"), newsletters, RSVP and registration tools, and Member-facing content. The App is licensed, not sold, to Members. Base grants each Member a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App for personal, non-commercial use on a device the Member owns or controls. When the App is accessed through a third-party platform (such as the Apple App Store or Google Play), the Member also agrees to comply with that platform's terms. Base, not the platform operator, is responsible for the App and the Services delivered through it.
3.4 Partner Venues and Third-Party Providers. Base operates Experiences at independently owned partner venues, and may use third-party contractors, hosts, and facilitators to deliver Experiences. Partner venues and third-party providers are not employees or agents of Base. Base disclaims all liability for the acts, omissions, conduct, or condition of any partner venue or third-party provider, except to the extent prohibited by applicable law.
3.5 Member Communication Tools. Base may provide messaging or other communication tools to facilitate connection among Members. Members are solely responsible for their interactions with other Members. Base is not responsible for the conduct of any Member and disclaims all liability arising from communications or interactions among Members, except to the extent prohibited by applicable law. Members agree to use these tools in accordance with this Agreement and the Code of Conduct.
3.6 Data Practices. Base collects and uses technical and personal data, usage statistics, location data (where enabled), and related information to operate and improve the Services. The Privacy Policy in Part 2 of this Agreement describes Base's data practices in detail.
4. Assumption of Risk, Release, and Liability Waiver
4.1 General Assumption of Risk. Membership in Base and participation in the Services, including Experiences, Member matching, and any in-person or online interaction with other Members, involve inherent risks. Members assume all risks associated with their Membership and participation, including but not limited to: personal injury or illness; loss, theft, or damage of personal property; emotional distress; financial harm; and harm arising from the conduct of other Members, guests, partner venues, third-party providers, or other third parties.
4.2 Member-to-Member Interactions and Matching. Base may facilitate introductions, Experience pairings, and other forms of Member matching based on information provided by Members, including personal interests, preferences, and demographic data. Each Member acknowledges and agrees that:
(a) Base does not conduct background checks on Members, guests, or other participants and does not verify the identity, character, or suitability of any individual;
(b) Base makes no representations, warranties, or guarantees regarding the character, behavior, intentions, compatibility, or suitability of any Member, guest, or other participant;
(c) Members are solely responsible for evaluating the suitability of any individual they encounter through the Services and for taking appropriate precautions in all interactions; and
(d) Base shall not be liable for any claim, damage, loss, or injury arising from a Member's interactions with other Members, guests, or other participants, including but not limited to personal injury, emotional distress, property damage, or financial harm.
4.3 In-Person Experiences. By attending or participating in any Base Experience, a Member assumes all risks associated with attendance, including but not limited to risks of personal injury, illness, exposure to communicable disease, property damage, intoxication, and harm caused by the acts or omissions of other Members, guests, partner venues, third-party providers, or other third parties.
4.4 Release of Claims. To the fullest extent permitted by applicable law, each Member releases and discharges Base Social Inc., its parents, subsidiaries, affiliates, officers, directors, employees, contractors, agents, partner venues, and third-party providers (collectively, the "Released Parties") from any and all claims, demands, actions, causes of action, liabilities, damages, costs, and expenses, whether known or unknown, arising out of or related to the Member's Membership, the Services, any Experience, or any interaction with other Members, guests, or third parties. This release does not apply to claims arising from the gross negligence or willful misconduct of the Released Parties, or to claims that cannot be waived under applicable law.
5. Guests
5.1 Guest Policy. Base maintains a separate Guest Policy that governs guest eligibility, registration, ticket pricing, attendance limits, and capacity at Experiences. The Guest Policy is published by Base in the Member Help Center and is updated by Base from time to time. By bringing a guest to any Base Experience, a Member agrees to comply with the then-current Guest Policy.
5.2 Member Responsibility for Guests. A Member is fully responsible for the conduct of any guest the Member brings to a Base Experience, and for ensuring the guest's compliance with this Agreement, the Code of Conduct, the Guest Policy, and any applicable venue rules. If a guest is asked to leave an Experience for any reason, the sponsoring Member may also be asked to leave.
5.3 Guests Bound by Agreement. By attending a Base Experience, each guest agrees to the applicable provisions of this Agreement, including the assumption of risk and release of claims in Section 4, the Code of Conduct, and the Likeness provisions in Section 6.
5.4 Indemnification for Guest Conduct. A Member agrees to indemnify, defend, and hold harmless the Released Parties (as defined in Section 4.4) from any claim, damage, loss, or expense arising from the conduct of the Member's guest, including violations of this Agreement, the Code of Conduct, or applicable law.
5.5 Guest Tickets. Guest tickets are non-transferable, are non-refundable except in cases of event cancellation by Base, and are valid only for the specific Experience for which they were purchased. Pricing for guest tickets is set forth in the Guest Policy.
6. Photography, Recording, and Use of Likeness
6.1 Photography at Experiences. Base, its affiliates, contractors, and authorized representatives may photograph, videotape, audio record, or otherwise capture images, video, and audio at Base Experiences. By attending an Experience, a Member consents to the capture of the Member's image, voice, and likeness (collectively, the Member's "Likeness").
6.2 Grant of License. Each Member grants Base a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, distribute, and publicly display the Member's Likeness in any media, for purposes including advertising, marketing, promotional materials, archival documentation, and Base's social media and websites. This license is granted for the duration of the Member's Membership and may continue thereafter, subject to Section 6.5 (Withdrawal of Consent).
6.3 Waiver of Approval and Compensation. The Member waives any right to inspect or approve the finished product or specific use of the Member's Likeness, and waives any right to royalties or other compensation arising from Base's use of the Likeness.
6.4 No Obligation to Use. Base is under no obligation to use the Member's Likeness in any manner and may use, not use, or discontinue use at its sole discretion.
6.5 Withdrawal of Consent. A Member may withdraw consent to future use of the Member's Likeness by sending written notice to members@base.club. Upon receipt, Base will make commercially reasonable efforts to cease future use of the Member's Likeness in newly created materials. Materials already published, distributed, or in circulation may not be recalled or modified.
6.6 Release for Use of Likeness. The Member releases the Released Parties (as defined in Section 4.4) from any claim arising from Base's use of the Member's Likeness, including claims for defamation, invasion of privacy, or violation of publicity or personality rights, except where such use is unlawful under applicable law.
7. Alcohol, Substances, and Venue Rules
7.1 Alcohol. Alcohol may be served at some Base Experiences. By attending an Experience where alcohol is served, a Member or guest agrees to consume alcohol responsibly, in compliance with all applicable laws, and in accordance with the policies of the partner venue. Base is not responsible for the consequences of a Member's or guest's intoxication, including impaired judgment, injury to self or others, property damage, or harm caused to or by the intoxicated individual.
7.2 Illegal Substances. The possession, use, or distribution of illegal substances at any Base Experience or partner venue is strictly prohibited and is grounds for immediate removal and termination of Membership under Section 2 of this Agreement.
7.3 Venue Rules. Members and guests agree to comply with all rules, policies, and house procedures of partner venues where Base Experiences are held. Partner venues retain authority over their premises, including admission, dress code, and behavior standards. Failure to comply with venue rules may result in removal from the Experience without refund.
8. Age Requirements
8.1 Minimum Age for Membership. Membership in Base is open to individuals 21 years of age or older. By applying for or maintaining Membership, the applicant or Member affirms that they are at least 21 years of age. Base may verify age at the time of application or at any time during Membership.
8.2 Minimum Age for Guests. A guest attending any Base Experience must be 21 years of age or older.
8.3 Identification. Members and guests may be required to present valid government-issued photo identification for entry to any Experience.
8.4 No Members or Guests Under 21. Base does not knowingly accept Members under the age of 21 or admit guests under the age of 21 to Base Experiences.
9. Event Cancellation, Membership Fees, and Refunds
9.1 Right to Cancel or Modify Experiences. Base reserves the right to cancel, postpone, reschedule, modify, or substitute any Experience at its sole discretion. Where commercially reasonable, Base will provide advance notice and may offer an alternative Experience or an account credit.
9.2 Non-Refundable Fees. Except as expressly stated in this Agreement or as required by applicable law, all Membership fees, Experience fees, guest ticket fees, and other amounts paid to Base are non-refundable. No refund will be issued for any reason, including (without limitation) unused Membership time, schedule changes, relocation, personal circumstances, or a Member's inability or decision not to attend a scheduled Experience.
9.3 Incidental Expenses. Base is not liable for any travel, lodging, transportation, child care, or other related or incidental expenses incurred by a Member or guest in connection with any Experience that is canceled, postponed, rescheduled, modified, or substituted.
10. Event Reservations and Attendance
10.1 Reservations Create a Commitment. Most Base Experiences are reservation-based. By reserving a spot at an Experience, a Member commits to attend.
10.2 Cancellation Window. A Member may cancel a reservation through the Base app or other methods designated by Base, provided that cancellation is made more than seventy-two (72) hours before the Experience's start time. Reservations may not be canceled within the 72-hour window and are non-transferable.
10.3 No-Show Fee. A Member who fails to attend a reserved Experience for any reason, including failure to cancel before the 72-hour window closes, will be charged a no-show fee of $25.00. By maintaining Membership, the Member authorizes Base to charge the no-show fee to the payment method on file. Base will notify the Member by email when the fee is charged.
10.4 Repeated No-Shows. Three (3) no-shows within a rolling ninety (90) day period will result in Membership review and may result in suspension or termination of Membership under Section 2.
10.5 Restriction of Reservations. Base may restrict a Member's ability to make new reservations until any outstanding no-show fees have been paid in full.
10.6 Modification of Terms. Base may modify the fees, windows, and other terms in this Section 10 from time to time. Material changes will be communicated to Members in accordance with Section 26 (Changes to Agreement).
10.7 Consistency with Code of Conduct. This Section 10 is in addition to and consistent with the Code of Conduct provision regarding honoring RSVPs.
11. Force Majeure
11.1 Excused Non-Performance. Neither Base nor a Member is liable for any failure or delay in performance under this Agreement to the extent that such failure or delay is caused by an event beyond the reasonable control of the affected party, including (without limitation): natural disasters, fires, floods, and severe weather; pandemics, epidemics, or public health emergencies; acts of war, terrorism, sabotage, or civil unrest; strikes or labor disputes; government orders, restrictions, or actions; venue closures or emergencies; utility, telecommunications, or internet failures; and other events that could not have been reasonably foreseen or prevented (each, a "Force Majeure Event").
11.2 Effect on Experiences. In the event of a Force Majeure Event that affects a scheduled Experience, Base will use commercially reasonable efforts to reschedule the Experience, offer an alternative, or credit the affected Members' accounts. Base is under no obligation to issue cash refunds unless required by applicable law.
12. Communication Monitoring
12.1 Right to Monitor. Base reserves the right, but is not obligated, to monitor, review, store, and remove communications, messages, content, and other materials transmitted through the App's messaging features or other communication tools provided as part of the Services.
12.2 Purposes. Base may exercise the right described in Section 12.1 in its discretion for purposes including:
(a) Ensuring compliance with this Agreement and the Code of Conduct;
(b) Investigating reports of harassment, misconduct, or other prohibited behavior;
(c) Protecting the safety, rights, or property of Members, guests, staff, partners, or Base;
(d) Resolving disputes between Members; and
(e) Complying with applicable law or legal process.
12.3 No Expectation of Privacy. By using the communication tools provided through the Services, a Member acknowledges and consents to the monitoring described in this Section 12 and agrees that the Member has no expectation of privacy with respect to communications transmitted through the Services. Base's handling of Personal Information collected through the Services is governed by the Privacy Policy in Part 2 of this Agreement.
13. Account and Registration
13.1 Account Registration. A Member must create and maintain an account to access the Services. The Member agrees to provide accurate, current, and complete information during registration and to update this information as needed.
13.2 Account Security. The Member is responsible for safeguarding access to the Member's account, including any verification codes, devices, or credentials used to access the Services. The Member agrees to notify Base promptly at members@base.club if the Member becomes aware of any unauthorized access to or use of the Member's account.
13.3 Account Responsibility. The Member is responsible for all activity that occurs under the Member's account, except to the extent the activity results from a failure of Base's own security systems.
13.4 One Account per Member; No Sharing. A Member may maintain only one Base account at a time. Sharing of an account, including credentials or access devices, with any other person, is prohibited. Violation of this Section 13.4 may result in suspension or termination of Membership under Section 2.
14. Intellectual Property
14.1 Base Intellectual Property. All content, materials, features, software, designs, trademarks, service marks, logos, trade names, and other intellectual property used in or made available through the Services (collectively, "Base IP") are owned by Base Social Inc. or its licensors and are protected by United States and international intellectual property laws.
14.2 Limited License. Subject to the Member's compliance with this Agreement, Base grants the Member a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and any Base IP made available to the Member through the Services, solely for the Member's personal, non-commercial use during the term of Membership.
14.3 Restrictions. Except as expressly permitted by Base in writing, the Member shall not: (a) copy, reproduce, distribute, publish, transmit, modify, adapt, translate, or create derivative works of any Base IP; (b) reverse engineer, decompile, disassemble, or attempt to derive source code from the Services; (c) use Base IP for any commercial purpose or in any manner that suggests endorsement by Base; or (d) remove or obscure any proprietary notices on the Services or any Base IP.
14.4 Trademarks. "Base," "Base Social," the Base logo, and other Base trademarks and service marks are the exclusive property of Base. Use of any Base trademark without Base's prior written consent is prohibited.
15. User Content and Feedback
15.1 User Content Defined. "User Content" means any content, feedback, comments, testimonials, photographs, video, audio, event suggestions, ideas, or other materials a Member submits to Base or shares through the Services.
15.2 License to Base. By submitting any User Content to Base or through the Services, the Member grants Base a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works of the User Content in connection with the Services and Base's business operations, including marketing and promotional activities.
15.3 Representations. The Member represents and warrants that the Member owns or has obtained all rights necessary to grant the license in Section 15.2, and that the Member's User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
15.4 No Obligation to Use or Retain. Base is under no obligation to use, display, store, or retain any User Content and may modify, remove, or refuse to display User Content at its discretion.
15.5 Feedback. Any suggestions, comments, or feedback the Member provides to Base about the Services may be used by Base for any purpose, without attribution or compensation to the Member.
16. Third-Party Services
16.1 Links and Integrations. The Services may include links to or integrations with third-party websites, applications, products, services, or content. These are provided for convenience and do not imply Base's endorsement, sponsorship, or affiliation.
16.2 No Responsibility. Base is not responsible for the privacy practices, content, security, availability, or conduct of any third party, and does not control or guarantee the performance of any third-party service. The Member's use of any third-party service is governed by the terms and privacy policy of that third party.
16.3 Third-Party Payment Processor. Base uses Stripe, Inc. and may use other third-party payment processors to handle payments. Payment card information is collected, transmitted, and stored by the applicable processor in accordance with its own privacy and security practices. Base does not store full payment card information.
17. Payment Terms
17.1 Fees Payable in Advance. Membership fees, Experience fees, guest ticket fees, and other charges are due in advance in accordance with the applicable billing schedule communicated by Base.
17.2 Payment Method on File. A Member is required to maintain a valid payment method on file. By providing a payment method, the Member authorizes Base and Base's payment processor to charge that payment method for all amounts due under this Agreement, including recurring Membership fees, Experience and guest ticket fees, and any fees assessed under Section 10 or elsewhere in this Agreement.
17.3 Failed Payments. If a charge to a Member's payment method is declined or otherwise fails, Base may retry the charge, contact the Member to request an updated payment method, suspend the Member's access to the Services, or terminate Membership. The Member remains responsible for any amounts due notwithstanding a payment failure.
17.4 Fee Categories. Membership fees and Experience or guest ticket fees are separate categories of charges. The distinction between these categories may affect the calculation of remedies and limits under Section 19 (Limitation of Liability).
17.5 Acknowledgment by Payment. By submitting payment of any Membership fee, the Member expressly acknowledges and accepts the terms of this Agreement in its entirety, including the assumption of risk and release of claims in Section 4, the Dispute Resolution and Arbitration provisions in Section 18, the Limitation of Liability in Section 19, and all waivers contained herein.
18. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. THIS SECTION AFFECTS THE MEMBER'S LEGAL RIGHTS, INCLUDING THE RIGHT TO FILE A LAWSUIT IN COURT AND THE RIGHT TO A JURY TRIAL.
18.1 Agreement to Arbitrate. Except as expressly provided in this Section 18, the Member and Base Social Inc. agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, the Member's Membership, or the Member's interactions with Base or with other Members (collectively, "Disputes") shall be resolved through binding individual arbitration and not in a court of general jurisdiction. Either party may bring an individual action in small claims court located in Miami-Dade County, Florida, if the claim qualifies.
18.2 Arbitration Rules and Forum. Arbitration shall be administered by the American Arbitration Association (the "AAA") under its Consumer Arbitration Rules then in effect, as modified by this Agreement. The arbitration shall be conducted in Miami-Dade County, Florida, and the language of the arbitration shall be English. The arbitrator shall apply the substantive law of the State of Florida, consistent with the Federal Arbitration Act. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
18.3 Arbitration Fees and Costs. Payment of all filing, administration, and arbitrator fees shall be governed by the AAA Consumer Arbitration Rules. Each party is responsible for its own attorneys' fees and costs, except that the arbitrator may award reasonable attorneys' fees to the prevailing party where the arbitrator determines that a claim or defense was frivolous or brought in bad faith.
18.4 Limitations on Arbitrator Authority. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief, and only to the extent necessary to provide relief warranted by that party's individual claim. The arbitrator does not have authority to award punitive, exemplary, or consequential damages, or any damages in excess of the limitations set forth in Section 19 (Limitation of Liability). The arbitrator does not have authority to modify or disregard any provision of this Agreement.
18.5 Confidentiality. Except as required by applicable law or as necessary to enforce an arbitration award, both parties shall treat the existence, content, and results of any arbitration under this Section 18, including the filings, evidence, testimony, correspondence, hearings, and award, as strictly confidential.
18.6 Class Action and Jury Trial Waiver.
THE MEMBER AND BASE SOCIAL INC. EACH WAIVE THE RIGHT TO TRIAL BY JURY. THE MEMBER AND BASE SOCIAL INC. EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER CONSOLIDATED OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate the claims of more than one party and may not preside over any class, collective, or representative proceeding. If this Section 18.6 is found unenforceable as to any specific claim or controversy, this entire Section 18 shall be null and void as to that claim or controversy only, and the parties shall resolve that claim or controversy in court subject to Section 27 (Governing Law and Venue).
18.7 Opt-Out Right. A Member may opt out of this Section 18 by sending written notice to Base Social Inc. at 31 NE 17th St, Miami, FL 33132, Attention: Legal, within thirty (30) days after the date the Member first agrees to this Agreement. For Members who joined Base prior to the effective date of this Agreement, the 30-day period begins on the effective date of this Agreement. The opt-out notice must include the Member's name, mailing address, email address, and a clear statement of the Member's intent to opt out of arbitration under this Agreement. If the Member opts out, the Member and Base may pursue Disputes in court subject to Section 27 (Governing Law and Venue). Opting out does not affect any other provision of this Agreement.
18.8 Batch Arbitration. If twenty-five (25) or more similar claims are filed against Base by separate claimants within a sixty (60) day period, and such claims are represented by the same or coordinated counsel, the parties agree that the AAA shall administer them in batches of no more than fifty (50) claims each, with one set of arbitration fees per batch. Each batch shall be assigned to a single arbitrator. This Section 18.8 is intended to ensure efficient resolution of mass claims while preserving the individual nature of each claim.
18.9 Survival. This Section 18 survives termination of Membership or this Agreement.
19. Limitation of Liability
19.1 Cap on Aggregate Liability.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BASE'S TOTAL AGGREGATE LIABILITY TO A MEMBER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE MEMBER'S MEMBERSHIP SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100); OR (B) THE TOTAL MEMBERSHIP FEES (EXCLUDING EXPERIENCE FEES, GUEST TICKET FEES, AND OTHER NON-MEMBERSHIP CHARGES) PAID BY THE MEMBER TO BASE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
19.2 Exclusion of Indirect Damages.
IN NO EVENT SHALL BASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST GOODWILL, LOSS OF USE, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF BASE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
19.3 Application of Limitations. The limitations and exclusions in this Section 19 apply regardless of the theory of liability, whether based on contract, tort (including negligence), strict liability, statute, or any other legal theory, and regardless of whether the damages were foreseeable. These limitations do not apply to claims arising from Base's gross negligence or willful misconduct, or to any claims that cannot be limited or excluded under applicable law.
20. Right to Modify Services
Base reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, including but not limited to Experiences, features, formats, venues, the App, the Website, Membership tiers, and any other element of the Services. Base shall not be liable to any Member or third party for any modification, suspension, or discontinuation of the Services. Without limiting the foregoing, Base may change Experience formats, venues, schedules, Membership tiers, available features, and other elements of the Services without prior notice and without incurring any liability for such changes. Nothing in this Section 20 limits the Member's right to cancel Membership under Section 1.3.
21. Indemnification
21.1 Indemnification by Member. To the fullest extent permitted by applicable law, each Member shall indemnify, defend, and hold harmless Base Social Inc., its parents, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, partner venues, and service providers (the "Base Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, expenses (including reasonable attorneys' fees and court costs), and harm of any kind, known or unknown, arising out of or related to:
(a) the Member's access to or use of the Services, including participation in any Experience;
(b) the Member's violation of this Agreement, the Code of Conduct, any applicable Policy, or any applicable law or regulation;
(c) the Member's User Content;
(d) any claim or dispute between the Member and any other Member, guest, venue, or third party;
(e) any claim arising from a guest or invitee of the Member, including damage to persons or property; or
(f) the Member's negligence, misconduct, or misuse of the Services.
21.2 Control of Defense. Base reserves the right, at the Member's expense, to assume the exclusive defense and control of any matter subject to indemnification under this Section 21. The Member agrees to cooperate fully in the defense of any such claim. The Member may not settle any matter subject to indemnification without Base's prior written consent.
22. Waiver of Injunctive Relief Against Base
To the fullest extent permitted by applicable law, the Member agrees that, in the event of any Dispute arising out of or relating to this Agreement or the Services, the Member will not seek, and hereby waives any right to seek, injunctive or other equitable relief against Base, including temporary restraining orders, preliminary injunctions, or permanent injunctions. The Member agrees that monetary damages, as limited by Section 19, constitute an adequate remedy for any breach or threatened breach of this Agreement by Base. This waiver does not apply to claims brought by Base against the Member, or to claims where injunctive relief is required by applicable law and cannot be waived by agreement.
23. Limitation on Time to File Claims
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CAUSE OF ACTION OR CLAIM A MEMBER MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE MEMBER'S MEMBERSHIP MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. ANY CAUSE OF ACTION OR CLAIM NOT COMMENCED WITHIN THIS PERIOD IS PERMANENTLY BARRED.
This limitation applies regardless of whether the claim sounds in contract, tort, strict liability, or any other legal theory.
24. No Third-Party Beneficiaries
This Agreement is intended solely for the benefit of the Member and Base Social Inc. and does not create any rights in favor of any third party, including (without limitation) partner venues, third-party providers, guests, invitees, service providers, or any other person or entity. No third party has any right to enforce any provision of this Agreement.
25. Survival
The following provisions of this Agreement survive the termination or expiration of Membership or this Agreement: Section 4 (Assumption of Risk, Release, and Liability Waiver), Section 6 (Photography, Recording, and Use of Likeness), Section 9 (Event Cancellation, Membership Fees, and Refunds), Section 11 (Force Majeure), Section 14 (Intellectual Property), Section 15 (User Content and Feedback), Section 18 (Dispute Resolution and Arbitration), Section 19 (Limitation of Liability), Section 21 (Indemnification), Section 22 (Waiver of Injunctive Relief Against Base), Section 23 (Limitation on Time to File Claims), Section 24 (No Third-Party Beneficiaries), this Section 25 (Survival), Section 27 (Governing Law and Venue), and any other provisions that by their nature should survive.
26. Changes to Agreement
26.1 Base May Modify. Base reserves the right to update, modify, or replace this Agreement from time to time. The current version will be available at base.club/privacy and in the Member Help Center. When this Agreement is updated, Base will revise the "Last Updated" date at the top.
26.2 Notice of Material Changes. Where Base materially changes this Agreement (including changes to Section 18 (Dispute Resolution and Arbitration) or Section 19 (Limitation of Liability)), Base will provide reasonable advance notice to the Member by email to the Member's then-current address on file and through the Services.
26.3 Acceptance by Continued Use. A Member's continued use of the Services after the effective date of any updated Agreement constitutes acceptance of the updated Agreement. If a Member does not agree to a change, the Member's sole remedy is to cancel Membership under Section 1.3.
27. Governing Law and Venue
27.1 Governing Law. This Agreement is governed by and construed in accordance with the laws of the State of Florida, without giving effect to its conflict-of-laws principles.
27.2 Venue. Subject to Section 18 (Dispute Resolution and Arbitration), any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and the Member consents to the personal jurisdiction of such courts.
28. Entire Agreement; Severability; Waiver
28.1 Entire Agreement. This Agreement, together with the Base Code of Conduct, the Guest Policy, the Privacy Policy in Part 2 of this document, and any other policies, terms, or guidelines that Base incorporates by reference, constitutes the entire agreement between the Member and Base regarding the subject matter, and supersedes all prior or contemporaneous agreements, understandings, representations, or warranties.
28.2 Severability. If any provision of this Agreement is found to be invalid, unenforceable, or contrary to law by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect.
28.3 No Waiver. Base's failure to enforce any provision of this Agreement is not a waiver of that provision or of Base's right to enforce it in the future.

PART 2 — PRIVACY POLICY

This Privacy Policy describes how Base Social Inc. ("Base," "we," "our," or "us") collects, uses, shares, and protects information when an individual interacts with us through any of the following (collectively, the "Services"):
By accessing, engaging with, or using the Services, an individual acknowledges that the individual has read and understood this Privacy Policy and consents to Base's collection, use, storage, and disclosure of Personal Information as described herein.
The Services are intended for individuals located in the United States who are at least 21 years of age. By using the Services, the individual confirms that the individual resides in the United States, is at least 21 years of age, and is accessing and using the Services from within the United States.
This Privacy Policy forms Part 2 of the consolidated Membership Agreement and Privacy Policy.
1. Scope and Application
This Privacy Policy applies to all individuals who access or use the Services. It explains what information Base collects, how Base uses it, the choices available to individuals, and how Base protects the information.
This Privacy Policy is incorporated into and forms part of the Membership Agreement. To the extent of any conflict between this Privacy Policy and Part 1 (Membership Agreement) regarding the handling of Personal Information, this Privacy Policy controls.
2. Information We Collect
Base collects two general categories of information.
Personal Information means data that identifies, relates to, describes, or could reasonably be associated with a specific individual, directly or indirectly. Examples include:
Non-Personal Information means data that does not identify, and cannot reasonably be used to identify, a specific individual. Examples include aggregated usage data, anonymized analytics, browser and platform types, referring and exit pages, and similar metrics.
Sensitive Personal Information. Some Personal Information may be classified as "Sensitive Personal Information" under applicable law. Section 9 of this Privacy Policy describes how Base handles Sensitive Personal Information.
3. How We Collect Information

(b) Service delivery — operating the App and Website; facilitating Experiences and reservations; matching Members with compatible Experiences and other Members;
(c) Communications — responding to inquiries; sending administrative notices, reservation confirmations, and important updates;
(d) Marketing — sending newsletters, promotional offers, and similar communications, subject to applicable consent and opt-out requirements (see Section 7);
(e) Analytics and product improvement — analyzing usage patterns; conducting research; developing new features and Experience formats;
(f) Security and fraud prevention — detecting and preventing unauthorized access, fraud, abuse, or violations of this Agreement;
(g) Legal compliance — complying with applicable law, regulation, court order, or other legal obligation; and
(h) Business operations — accounting, audits, business administration, and corporate transactions.
5. How We Share Personal Information
5.1 No Sale or Rental. Base does not sell Personal Information for monetary consideration and does not rent Personal Information.
5.2 Service Providers. Base shares Personal Information with third-party service providers that perform services on Base's behalf, including hosting, payment processing (Stripe), analytics (Google Analytics), customer engagement (Customer.io), email delivery, and customer support. These service providers may access Personal Information only as needed to perform their services and are contractually obligated to protect it.
5.3 Partner Venues. Base may share limited Personal Information (such as Member names, reservation details, and applicable dietary accommodations) with partner venues for purposes of Experience operations, including check-in and access verification. Partner venues are not permitted to use this information for their own marketing or commercial purposes.
5.4 Legal Disclosures. Base may disclose Personal Information when Base believes in good faith that disclosure is reasonably necessary to:

In connection with a merger, acquisition, financing, reorganization, sale of assets, or bankruptcy, Personal Information may be transferred or disclosed as part of the transaction. Any successor entity will be required to handle Personal Information in accordance with this Privacy Policy unless the Member is notified otherwise.
5.6 With Consent. Base may share Personal Information for other purposes with the Member's consent.
5.7 Sharing for Advertising Measurement. Base uses the Meta Pixel on the base.club website to measure the performance of Base's advertising campaigns on Meta platforms (including Facebook and Instagram). The Meta Pixel may collect and transmit to Meta information about a visitor's interactions with the Website, including page views and conversions, in association with identifiers Meta uses to attribute advertising performance.
Under certain state privacy laws (including the California Consumer Privacy Act, the Colorado Privacy Act, and the Connecticut Data Privacy Act), this activity may be considered "sharing" of Personal Information for purposes of cross-context behavioral advertising. Base does not consider the Meta Pixel to be a "sale" of Personal Information, as Base receives no monetary consideration from Meta for this activity.
Base does not use any other third-party advertising pixels or tracking technologies on the Website or the App. Base does not use the Meta Pixel or any similar tracking technology within the App itself.
An individual has the right to opt out of this sharing as described in Section 10 (Your Rights and Choices).
6. Cookies and Tracking Technologies
6.1 Cookies and Similar Technologies. Cookies are small text files placed on an individual's device when the individual visits a website. Similar technologies include pixels, web beacons, clear GIFs, software development kits ("SDKs"), and tags.
6.2 First-Party Cookies. Base uses first-party cookies and similar technologies to:
6.3 Third-Party Analytics. Base uses third-party analytics tools, including Google Analytics provided by Google LLC. These tools may use cookies and similar technologies to collect information about how individuals interact with the Services. An individual may opt out of Google Analytics by visiting tools.google.com/dlpage/gaoptout.
6.4 Advertising and Conversion Tracking. Base uses the Meta Pixel, a third-party tracking technology provided by Meta Platforms, Inc., on the base.club website. The Meta Pixel may use cookies and similar technologies to collect information about a visitor's interactions with the Website and to associate that information with the visitor's Meta account, where one exists. This information is used by Base to measure advertising performance and by Meta in accordance with Meta's own privacy practices.
Base does not use the Meta Pixel or any similar third-party tracking technology within the Base mobile application. Base does not currently participate in third-party retargeting or interest-based advertising programs that build cross-site profiles of individuals beyond the Meta Pixel activity described above.
An individual may manage Meta's use of information collected through the Meta Pixel through the individual's Meta account settings, or by visiting Meta's Ad Preferences page. An individual may also block tracking pixels through browser settings or extensions.
6.5 Managing Cookies. An individual may manage cookies through the individual's browser settings, including by enabling, disabling, or deleting cookies. If cookies are disabled, certain features of the Services may not function correctly.
6.6 Browser Privacy Signals. The Website does not currently recognize the Global Privacy Control (GPC) signal. Base is evaluating the implementation of GPC recognition. Until GPC is implemented on the Website, individuals seeking to exercise rights to opt out of sale or sharing of Personal Information may do so by submitting a request as described in Section 10 (Your Rights and Choices).
6.7 Do Not Track. Base does not currently respond to "Do Not Track" browser signals. An individual may manage tracking through the browser settings described above.
7. Marketing Communications
7.1 Marketing Channels. Base may use Personal Information to send marketing communications about Base Membership, Experiences, and promotions. These communications may be sent by email, SMS (subject to Section 8), or other channels.
7.2 Opt-Out. An individual may opt out of marketing communications at any time by:
(a) Clicking the "unsubscribe" link in any marketing email;
(b) Updating communication preferences in the Member's account settings; or
(c) Contacting Base at members@base.club.
7.3 Transactional Messages. Even after opting out of marketing communications, Base may continue to send transactional and service-related communications, including reservation confirmations, account notices, billing notifications, fee assessments under Section 10 of Part 1, security alerts, and other operational messages.
7.4 Sale and Sharing for Marketing. Base does not sell Personal Information for monetary consideration. Base shares limited Personal Information with Meta through the Meta Pixel as described in Sections 5.7 and 6.4 for the purpose of measuring the performance of Base's own advertising. Base does not otherwise sell or share Personal Information to or with third parties for their own marketing purposes.
8. SMS and Text Message Communications
8.1 Opt-In. By providing a mobile phone number and affirmatively opting in, an individual consents to receive recurring automated or prerecorded text messages from Base (including SMS and MMS) related to the Services. These messages may include reservation confirmations, Experience notifications, Membership updates, fee notifications, and promotional offers.
8.2 Frequency. Message frequency varies based on the individual's activity and preferences.
8.3 Opt-Out. An individual may opt out of receiving text messages at any time by replying STOP to any message, or by contacting Base at members@base.club. After opting out, the individual will receive a single confirmation message, and no further messages will be sent unless the individual re-enrolls.
8.4 Help. An individual may reply HELP to any message for assistance, or contact Base at members@base.club.
8.5 Carrier Costs. Message and data rates may apply depending on the individual's mobile carrier and plan. Base is not responsible for any charges incurred by the individual's carrier.
8.6 No Purchase Required. Consent to receive text messages is not a condition of purchasing any goods or services from Base.
8.7 No Sale or Sharing of Mobile Numbers. Base does not sell, rent, or share mobile phone numbers collected for SMS purposes with third parties for their own marketing purposes.
9. Sensitive Personal Information
9.1 What Is Sensitive Personal Information. Under applicable state privacy laws, including the California Consumer Privacy Act as amended by the California Privacy Rights Act ("CCPA/CPRA"), certain Personal Information is classified as "Sensitive Personal Information" ("SPI"). The SPI Base may collect includes:
9.2 Purpose Limitation. Base collects and uses SPI strictly for the following purposes:
(a) Member matching and personalization — sexual orientation, family status, and interest data are used solely to match Members with compatible Experiences and other Members;
(b) Experience and dietary accommodations — dietary restrictions and allergy information are used solely to ensure appropriate food and beverage accommodations at Experiences; and
(c) Location-based Services — geolocation data, when enabled, is used to provide relevant local Experience recommendations.
Base does not use SPI for advertising, marketing segmentation, profiling, or any purpose beyond what is reasonably necessary to provide the Services.
9.3 No Sale or Sharing of SPI. Base does not sell SPI. Base does not share SPI with third parties for cross-context behavioral advertising or for any purpose unrelated to the direct provision of the Services.
9.4 Right to Limit Use. An individual has the right under applicable law to limit the use and disclosure of SPI to uses necessary to perform the Services. Because Base already limits its use of SPI to these purposes, no additional action is required to exercise this right.
9.5 Confidentiality and Access. All SPI is treated as strictly confidential. Access to SPI is limited to Base personnel who require it to perform the specific functions described above.
10. Your Rights and Choices
10.1 Overview. Depending on the individual's state of residence and applicable privacy law, the individual may have certain rights regarding Personal Information held by Base. This Section 10 describes those rights and how to exercise them.
10.2 Rights That May Apply. Subject to applicable law and the exceptions described in this Privacy Policy, an individual may have the right to:
(a) Access — confirm whether Base processes the individual's Personal Information and obtain a copy of that Personal Information;
(b) Correct — request correction of inaccurate Personal Information;
(c) Delete — request deletion of Personal Information, subject to legal and operational exceptions;
(d) Portability — receive a copy of Personal Information in a commonly used, machine-readable format;
(e) Opt out of sale or sharing — opt out of the sale or sharing of Personal Information, where applicable, including opt-out of the Meta Pixel sharing described in Sections 5.7 and 6.4;
(f) Limit use of Sensitive Personal Information — limit Base's use and disclosure of SPI as described in Section 9.4;
(g) Profiling — opt out of profiling in connection with decisions that produce legal or similarly significant effects, where applicable; and
(h) Withdraw consent — withdraw consent for processing that is based on consent.
10.3 How to Submit a Request. An individual may submit a request to exercise any right under this Section 10 by emailing members@base.club with "Privacy Request" in the subject line. The request should include the individual's name, the email address associated with the Member account (if applicable), and a description of the right being exercised.
10.4 Verification. To protect against fraudulent requests, Base will take reasonable steps to verify the requester's identity before responding. Verification may include confirming information already in Base's records or requesting additional information sufficient to confirm identity.
10.5 Authorized Agents. An individual may designate an authorized agent to submit a request on the individual's behalf, as permitted by applicable law. Base may require the authorized agent to provide proof of authorization (such as a signed permission, a power of attorney, or a similar document) and may require the individual to verify the individual's identity directly with Base.
10.6 Response Time. Base will respond to verified requests within the time required by applicable law, generally within forty-five (45) days. Where permitted by applicable law, Base may extend this period once by an additional forty-five (45) days when reasonably necessary, in which case Base will notify the individual of the extension and the reasons.
10.7 Right to Appeal. Where required by applicable law, an individual may appeal Base's denial of a privacy request by emailing members@base.club with "Privacy Appeal" in the subject line and a description of the basis for the appeal. Base will respond to appeals within the timeframe required by applicable law.
10.8 Effect of Data Requests on Services. If an individual exercises the right to delete Personal Information that is necessary for Base to provide the Services, including matching preferences, profile data, or account information, Base may be unable to continue providing some or all of the Services to the individual. In such cases, Base reserves the right to suspend or terminate the individual's access to the affected features or to the individual's Membership, without refund, to the extent the requested deletion renders the Services inoperable for the individual's account. This does not constitute discrimination for exercising privacy rights; it reflects the operational necessity of certain data to deliver the Services.
10.9 Non-Discrimination. Base will not deny goods or services, charge different prices, or provide a different level or quality of services solely because the individual exercised privacy rights under applicable law.
10.10 Online Tracking and Browser Signals. Base's handling of "Do Not Track" signals and Global Privacy Control (GPC) signals is described in Section 6.
10.11 Withdrawal of Consent. Where Base's processing of Personal Information is based on consent, the individual may withdraw that consent at any time. Withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal. Withdrawal may limit the individual's ability to access certain features or use the Services.
11. Children's Privacy (COPPA)
The Services are not directed to children under the age of 13, and Base does not knowingly collect, use, or disclose Personal Information from children under 13. Base Membership is open only to individuals 21 years of age or older, as set forth in Section 8 of Part 1.
If Base becomes aware that Personal Information has been collected from a child under 13 without verified parental consent, Base will promptly delete that information.
If an individual believes Base may have collected information from a child under 13, the individual may contact Base at members@base.club.
12. Security of Personal Information
12.1 Safeguards. Base implements a variety of security measures designed to protect Personal Information from unauthorized access, use, alteration, disclosure, or destruction. These measures include physical, technical, and administrative safeguards.
12.2 No Absolute Security. No method of transmission over the internet or method of electronic storage is completely secure. While Base strives to protect Personal Information, Base cannot guarantee the absolute security of any information transmitted to Base or stored on Base's systems.
12.3 Account Security. Base secures Member accounts through verification codes sent to the Member's registered email address or mobile phone number at each login. Base does not store Member passwords. Members are responsible for keeping their email accounts and mobile devices secure, as these serve as primary authentication credentials. Members should notify Base immediately at members@base.club if they believe their account has been accessed without authorization.
13. Data Breach Notification
In the event of a data breach that compromises the security, confidentiality, or integrity of Personal Information, Base will notify affected individuals in accordance with applicable federal and state laws, including Florida's Information Protection Act of 2014 (§501.171, Florida Statutes).
Notification will be made as expeditiously as practicable, and in no event later than thirty (30) days after Base determines that a breach has occurred, unless a delay is requested by law enforcement or required by applicable law.

14. Data Retention
14.1 Retention Period. Base retains Personal Information only for as long as reasonably necessary to fulfill the purposes for which it was collected, including to:
14.2 Factors Affecting Retention. The specific retention period for any category of Personal Information depends on the nature, scope, and sensitivity of the information; the potential risk of harm from unauthorized use or disclosure; the purposes for which the information is processed and whether those purposes can be achieved through other means; applicable legal or regulatory requirements; and contractual or operational requirements.
14.3 Anonymized Data. Base may anonymize or de-identify Personal Information for research, analytics, or statistical purposes. Base may retain and use anonymized or de-identified data indefinitely, in accordance with applicable law.
14.4 Deletion Requests. Upon receiving a verified deletion request under Section 10.2(c), Base will purge the individual's Personal Information from Base's primary databases and direct Base's service providers (including Stripe and Customer.io) to delete the data using their applicable deletion processes. Base may retain minimal references necessary to ensure Base does not inadvertently re-contact the individual, and basic transactional records required for accounting and tax compliance.
15. Links to Third-Party Services
The Services may include links to third-party websites, applications, products, or services. Base is not responsible for the privacy practices, content, security, or availability of those third parties. This Privacy Policy applies only to information collected by Base. Individuals are encouraged to review the privacy policies of any third-party services they access through the Services.
16. Changes to This Privacy Policy
16.1 Updates. Base may update this Privacy Policy from time to time to reflect changes in Base's practices, technologies, legal requirements, or for other operational reasons. When Base makes changes, Base will revise the "Effective Date" at the top of this Privacy Policy.
16.2 Notice of Material Changes. If the changes are material, Base will provide additional notice as required by applicable law, such as by posting a notice on the Website, sending a notification to the Member's email address or phone number on file, or as otherwise required.
16.3 Acceptance by Continued Use. An individual's continued use of the Services after the Effective Date of an updated Privacy Policy constitutes acceptance of the updated Privacy Policy.

18. International Users
The Services are intended for individuals located in the United States. Base does not direct the Services to individuals outside the United States. Individuals accessing the Services from outside the United States do so at their own initiative and are responsible for compliance with local laws to the extent applicable.
By using the Services, the individual understands and agrees that Personal Information collected by Base may be stored and processed in the United States, where data protection laws may differ from those in the individual's country of residence.
